Terms and Conditions

These Terms and Conditions govern the booking and use of the services and spaces provided by Khatwah Business Incubators and Accelerators Company ("Khatwah"). By contracting for any service, completing any booking, or using any of Khatwah’s spaces, the Client shall be deemed to have accepted and agreed to be bound by these Terms and Conditions.
1. Definitions and Scope of Application
1.1 Khatwah: Khatwah Business Incubators and Accelerators Company, a company incorporated under the laws of the Kingdom of Saudi Arabia, holding National Number 7053887969, with its registered address at King Abdulaziz Branch Road, Al Yasmin District, Riyadh, Kingdom of Saudi Arabia.
1.2 Client: Any natural or legal person who contracts with Khatwah, books, or uses any of its services or spaces.
1.3 Space: Any space or facility made available by Khatwah for use or booking, including private offices, coworking spaces, shared offices and desks, meeting rooms, majlis spaces, training spaces, event spaces, and any other spaces made available by Khatwah.
1.4 Service: Any service, space, or facility provided by Khatwah to the Client for a fee or as part of a package or contractual arrangement.
1.5 Booking: A request to use any Space or Service for a specified period or duration once accepted and confirmed by Khatwah.
1.6 Booking Confirmation: A confirmation issued by Khatwah through its website or any of its approved communication channels, setting out the details of the Booking or Service, including the price, duration, and any specific terms applicable thereto.
1.7 Guests: Any persons entering the Premises or using the Space at the invitation of, or in connection with, the Client, including the Client’s employees, representatives, visitors, and invitees.
1.8 These Terms shall apply to all services and spaces provided by Khatwah unless otherwise agreed in writing in respect of a particular Service.
1.9 In the event of any conflict between these Terms and any specific terms contained in a Booking Confirmation, contract, or approved quotation, the specific terms shall prevail in relation to the relevant Service.
2. Booking and Contracting
2.1 Services and Spaces may be booked through Khatwah’s website or through its approved communication and sales channels.
2.2 A Booking shall not be considered confirmed or binding on Khatwah unless it has been accepted by Khatwah and a Booking Confirmation has been issued, or the required contracting procedures have been completed.
2.3 All Bookings are subject to the availability of the relevant Space or Service on the requested date and time.
2.4 The Client shall provide accurate and complete information when making a Booking or entering into a contract and shall be responsible for the accuracy of the information provided.
2.5 The details of each Booking or Service, including the type of Space, duration, price, capacity, payment dates, Security Deposit if any, and amendment, cancellation, and refund terms, shall be set out in the Booking Confirmation, contract, or approved quotation.
2.6 Khatwah may decline any Booking or contracting request if the Service cannot be provided, or if the proposed use is unsuitable for the Space or conflicts with operational, security, or regulatory requirements.
2.7 The Client may not transfer the Booking or the right to use the Space to another party without Khatwah’s approval, unless permitted by the nature of the Service or the applicable Booking terms.
3. Prices and Payment
3.1 The prices of Services and Spaces shall be as displayed at the time of Booking or as specified in the approved quotation or contract.
3.2 Value Added Tax and any other applicable statutory taxes or charges shall be added in accordance with applicable laws and regulations, unless expressly stated that the price is inclusive thereof.
3.3 Payment for Bookings shall be due in accordance with the payment method and due date specified at the time of Booking or in the Booking Confirmation.
3.4 For long-term Services, including private offices, the amount and due dates of payments shall be specified in the contract, quotation, or Booking Confirmation.
3.5 Khatwah may require payment of a Security Deposit for certain Services or Spaces. The amount of the Security Deposit and the terms governing its retention and refund shall be specified in the contract or Booking Confirmation.
3.6 Additional charges may apply to any Services requested by the Client that are not included in the base price, any use of the Space beyond the booked duration, any damage caused, or any unusual cleaning or reinstatement required.
3.7 The Client shall be responsible for all amounts and charges due under the Booking or contract.
3.8 If any amount due is not paid by its due date, Khatwah may suspend the Service, restrict access to the Space, cancel the Booking, or terminate the Service, while retaining its right to claim all outstanding amounts in accordance with applicable laws and the agreement entered into with the Client.
4. Service Term and Renewal
4.1 Short-term Bookings shall commence and end on the date and at the time specified in the Booking Confirmation.
4.2 The Booking period shall be calculated from the scheduled start time, and late arrival by the Client shall not extend the Booking period or reduce the amount payable.
4.3 Any extension of the Booking shall be subject to Space availability and Khatwah’s approval, and additional charges may apply for any additional period of use.
4.4 For private offices and long-term Services, the Service term, renewal mechanism, and notice period for non-renewal or termination shall be specified in the contract or Booking Confirmation.
4.5 Continued use of the Space after expiry of the agreed term shall not constitute an automatic extension or renewal unless approved by Khatwah in writing or through its approved systems.
5. Booking Amendments, Cancellation and Refunds
5.1 Requests to amend or cancel a Booking shall be subject to the amendment and cancellation terms presented to the Client at the time of Booking.
5.2 The permitted amendment or cancellation period and the amount eligible for refund may vary depending on the type of Service, Space, and Booking date.
5.3 Completion of the Booking shall constitute the Client’s acceptance of the amendment, cancellation, and refund terms presented prior to confirmation.
5.4 Requests to change the date, time, type of Space, or number of attendees shall be subject to availability and may result in a price difference or additional charges.
5.5 The Client’s failure to attend or arrival after the Booking start time shall not result in an extension of the usage period or a refund for any unused time.
5.6 If Khatwah is unable to provide the booked Space due to an unforeseen operational circumstance, Khatwah may provide a suitable alternative Space, reschedule the Booking, or refund the amount paid for the affected Booking.
5.7 Any refund due shall be processed in accordance with the applicable Booking terms and, where possible, through the same payment method, or through such other method as Khatwah may determine.
6. Use of Spaces
6.1 The Space shall be used solely for the purpose for which it was booked or contracted.
6.2 No Space may be used for any activity that violates the laws of the Kingdom of Saudi Arabia, public morals, or the nature of the Premises, or for any activity that may endanger the safety of persons or property.
6.3 The number of users or attendees shall not exceed the approved capacity of the Space or the number approved under the Booking.
6.4 The Client may not make any permanent alteration to the Space, install any equipment or signage, or make any material changes to furniture or facilities without Khatwah’s prior approval.
6.5 The Client shall take proper care of the Space, furniture, equipment, facilities, and common areas and shall use them carefully and only for their intended purposes.
6.6 The Space shall be returned at the end of use in the condition in which it was received by the Client, subject to fair wear and tear resulting from normal use.
6.7 The Client shall be responsible for any loss of or damage to Khatwah’s property resulting from the Client’s acts, negligence, or misuse, or from the acts of its Guests, employees, or representatives.
6.8 Khatwah may require the Client to pay the cost of repairing or replacing any property or equipment damaged as a result of improper use.
6.9 No furniture, devices, equipment, or property belonging to Khatwah may be removed from the Space or relocated without approval.
7. Access and Guests
7.1 The Client’s access to the Premises and the Space shall be subject to the type of Service, Booking duration, and access rights granted to the Client.
7.2 Access to time-based booked Spaces, such as meeting rooms and event spaces, shall be limited to the Booking period unless otherwise approved by Khatwah.
7.3 The Client shall use any access cards, codes, credentials, or other means of access provided to it solely for their intended purpose and shall not share them with unauthorized persons.
7.4 The Client shall comply with all security, sign-in, and identity verification procedures applicable at the Premises.
7.5 The Client shall be responsible for its Guests, visitors, employees, and representatives and for ensuring their compliance with these Terms and the House Rules while at Khatwah.
7.6 Khatwah may restrict or refuse access to any person for security, operational, or regulatory reasons, or in the event of a breach of these Terms or the House Rules.
8. House Rules and Conduct
8.1 The Client and its Guests shall conduct themselves in a professional and respectful manner and shall preserve the comfort and safety of other users of the Premises.
8.2 The Client shall comply with all applicable security, safety, emergency, evacuation, and operational instructions at the Premises.
8.3 Smoking is prohibited inside the Spaces and indoor areas of the Premises, except in any areas that may be specifically designated for that purpose, if any.
8.4 The Client shall not cause excessive noise, odours, or any other unusual disturbance affecting other users of the Premises or adjacent Spaces.
8.5 The use of sound equipment, devices, or activities that generate high noise levels shall not be permitted without Khatwah’s prior approval.
8.6 Professional or commercial photography or filming, or photography involving other users or areas not allocated to the Client, shall be subject to Khatwah’s approval.
8.7 Any conduct involving abuse, harassment, threats, assault, or harm to others or their property is prohibited.
8.8 Khatwah may issue or update operational rules for the Premises from time to time as reasonably required for operational needs, safety, and the quality of the user experience.
8.9 The Client and its Guests shall comply with all rules and instructions displayed at the Premises or communicated to the Client through Khatwah’s approved channels.
9. Services and Facilities
9.1 Khatwah shall provide the Services and facilities associated with each Space according to the type of Service, package, or information specified at the time of Booking.
9.2 Depending on the Space or package, Services and facilities may include internet access, furniture, common areas, technical services, hospitality services, printing, and other facilities.
9.3 Certain Services and facilities may be subject to availability, usage limits, or additional charges.
9.4 The Client shall use all facilities and equipment properly and shall immediately notify Khatwah’s team upon becoming aware of any fault, issue, or damage.
9.5 Certain Services may be provided by third parties and shall, where applicable, be subject to the terms of the relevant third-party service provider.
9.6 Khatwah does not guarantee that Services dependent on third parties or infrastructure outside its control, including electricity, telecommunications, internet services, and third-party services, will remain uninterrupted.
9.7 Khatwah may carry out maintenance, upgrades, or repairs to the Premises or its facilities when required, while seeking to minimize any impact on the Client to the extent reasonably possible.
10. Personal Property
10.1 The Client shall be fully responsible for its belongings, devices, documents, and personal property, as well as the property of its Guests and employees, while present in the Space or the Premises.
10.2 The Client shall exercise appropriate care in safeguarding its property, shall not leave it unattended or in unsecured areas, and shall take appropriate precautions to protect it against loss, theft, or damage.
10.3 Khatwah shall not be responsible for the loss, theft, or damage of any property belonging to the Client, its Guests, or its employees while such property is present in the Space or the Premises.
10.4 The Client shall secure any Space allocated to it and safeguard its belongings whenever the nature of the Space permits.
10.5 Upon expiry of the Booking or Service, the Client shall remove all of its belongings and property from the Space.
10.6 Khatwah shall handle any lost property found at the Premises in accordance with its applicable policy and may dispose of any property that remains unclaimed after the applicable retention period.
11. Client Responsibility for Damage
11.1 The Client shall be responsible for any damage caused to the Space, Premises, furniture, equipment, facilities, or Khatwah’s property as a result of the Client’s use, negligence, misconduct, or the acts of its Guests, employees, or representatives.
11.2 The Client shall immediately notify Khatwah of any incident, damage, or fault occurring during its use of the Space.
11.3 Khatwah may require the Client to pay the cost of any repair, replacement, cleaning, or reinstatement required to remedy damage caused by the Client.
11.4 The Client may not attempt to repair any fault or damage involving the building systems or equipment without Khatwah’s approval.
11.5 The Client shall remain responsible for any amounts due in respect of damage even after expiry or termination of the Booking or Service.
12. Suspension or Termination of Service
12.1 Khatwah may suspend or terminate a Booking or Service in the event of a material breach of these Terms, the contract, or the House Rules.
12.2 Grounds for suspension or termination include, without limitation:
• Failure to pay amounts when due.
• Use of the Space for an unlawful or unauthorized activity.
• Intentional or serious damage to property.
• Creating a security risk or threat to the safety of persons or property.
• Abusive, disruptive, or unacceptable conduct.
• Exceeding the approved capacity of the Space.
• Subletting or transferring the right to use the Space to another party without approval.
• Misuse of access methods or access privileges.
• Repeated breach of the House Rules or operational instructions.
12.3 Suspension or termination may take immediate effect where the nature of the breach requires such action in order to preserve security, safety, the rights of others, or Khatwah’s property.
12.4 Upon expiry or termination of the Service, the Client shall vacate the Space, remove its belongings, return any access cards, keys, devices, or other property belonging to Khatwah, and settle all amounts due.
12.5 Expiry or termination of the Service shall not affect any obligations, amounts, or rights arising prior to the date of expiry or termination.
13. Limitation of Khatwah’s Liability
13.1 Khatwah shall exercise reasonable care in providing the agreed Spaces, Services, and facilities and in maintaining them in a condition suitable for use.
13.2 Khatwah shall not be responsible for any delay, interruption, or inability to provide a Service arising from events or circumstances beyond its reasonable control, including interruption of electricity, telecommunications, public utilities, governmental orders or decisions, emergencies, or force majeure events.
13.3 Khatwah shall not be liable for any indirect or consequential losses arising from the Client’s use of the Space or Services, including loss of business, profits, commercial opportunities, or data, to the extent permitted by applicable law.
13.4 The Client shall be responsible for taking appropriate precautions and maintaining suitable contingency arrangements to protect its business, data, devices, and continuity of operations.
13.5 The provision of internet access, electricity, or any technical Service shall not constitute a guarantee of uninterrupted availability or suitability for any specific operational requirements of the Client.
13.6 Subject to applicable laws and regulations, Khatwah’s total liability to the Client shall not exceed the amount actually paid for the Booking or Service giving rise to the claim.
14. Privacy and Confidentiality
14.1 Khatwah shall process personal data collected from the Client in accordance with the Privacy Policy published on its website and the applicable laws and regulations of the Kingdom of Saudi Arabia.
14.2 The Client shall respect the privacy of others and shall not photograph, record, collect, or use their data in any manner that violates applicable laws or the House Rules.
14.3 The Client shall be responsible for protecting its documents, information, devices, and data while using the Spaces, particularly when using shared areas, networks, or facilities.
14.4 Each party shall maintain the confidentiality of non-public commercial information received directly from the other party in connection with the contractual relationship where the nature of such information reasonably indicates that it is confidential.
14.5 The confidentiality obligation shall not apply to information that is publicly available or that is required to be disclosed by law or by the competent authorities.
15. Compliance with Laws and Permits
15.1 The Client shall use the Space and Services in accordance with the laws and regulations of the Kingdom of Saudi Arabia.
15.2 The Client shall be responsible for obtaining any licences, permits, or approvals required for the nature of its activities, event, or proposed use of the Space.
15.3 Khatwah’s approval of a Booking or provision of a Space shall not mean that the activity to be conducted therein is licensed or satisfies any specific regulatory requirements applicable to it.
15.4 Khatwah may request evidence that the Client has obtained any necessary licences, permits, or approvals where the nature of the activity or event requires them.
15.5 Khatwah may refuse or discontinue any use that it determines to be in breach of applicable laws or that may expose Khatwah, the Premises, or its users to any violation or risk.
16. Notices and Communications
16.1 Khatwah may communicate with the Client regarding the Booking or Service through the contact details registered with Khatwah, including email, telephone number, text messages, messaging applications, or any other approved channel.
16.2 The Client shall be responsible for the accuracy of the contact information it provides and for updating such information when it changes.
16.3 Notices relating to the Booking or Service shall be deemed sent to the Client when transmitted to the contact details registered with Khatwah.
16.4 Khatwah may use its approved communication channels to send Booking confirmations, operational alerts, access information, and any other notices related to the Service.
17. Amendment of Terms
17.1 Khatwah may update these Terms and Conditions from time to time in accordance with applicable laws and operational requirements.
17.2 The date of the latest update to these Terms shall be displayed at the top of this page.
17.3 The version of the Terms in effect at the time of Booking or contracting shall apply, subject to any specific terms set out in the relevant contract or Booking Confirmation.
17.4 Any amendments that materially affect the fundamental contractual rights and obligations under an existing contract shall not apply retroactively unless required by law or agreed with the Client.
18. Governing Law and Dispute Resolution
18.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia.
18.2 In the event of any dispute relating to a Booking or Service, the parties shall first seek to resolve the dispute amicably.
18.3 If an amicable resolution cannot be reached, the dispute shall be referred to the competent authority in accordance with the laws of the Kingdom of Saudi Arabia, unless a separate contract between the parties provides for another dispute resolution mechanism.
19. General Provisions
19.1 These Terms, together with the Booking Confirmation, contract, approved quotation, and any specific terms applicable to the Service, shall constitute the framework governing the Client’s use of the relevant Service.
19.2 In the event of any conflict between a general provision of these Terms and a specific term contained in an approved contract or Booking Confirmation, the specific term shall prevail in relation to the relevant Service.
19.3 If any provision of these Terms is found to be invalid or unenforceable, this shall not affect the validity or enforceability of the remaining provisions.
19.4 Any failure or delay by Khatwah in exercising any of its rights shall not constitute a waiver of such right.
19.5 The Client may not assign its rights or obligations relating to the Space, sublet the Space, or independently permit another party to use it without Khatwah’s prior approval.
19.6 These Terms and Conditions have been prepared in Arabic and English. In the event of any conflict or difference in interpretation between the two versions, the Arabic version shall prevail.
